Chapter 5 - The Locked Executive Elevators

“Have you lost your mind, Kane?!” Evan roared, his face flushing crimson in the bustling marble lobby. “I am the Chief Executive Officer of this enterprise! I sign your paychecks!”
“You haven’t signed a payroll distribution in eighteen months, Evan,” Naomi Price’s voice echoed across the lobby.
Naomi walked out from the ground-floor conference suite, holding a blue leather folio stamped with the official seal of the Cook County Chancery Court. Beside her were two senior forensic auditors from Deloitte and a uniformed deputy sheriff.
Barbara lunged forward, pointing a manicured finger at Naomi. “You! You’re Clara’s little lapdog lawyer! How dare you instruct security to bar my son from his own building!”
“Mrs. Whitmore,” Naomi said, handing a certified legal injunction to Evan. “This is a formal Notice of Emergency Extraordinary Shareholder Action pursuant to Delaware General Corporation Law Section 211. As an individual holding zero voting equity in Whitmore Freight, you and your son have exactly eight minutes to reach the 40th floor before the board votes in your absence.”
Evan ripped open the document, his eyes darting frantically across the legal text. His hands began to shake as he read the capital structure table:
Marcus Vance Irrevocable Heritage Trust: 72.0% Voting Control (Sole Trustee: Clara Vance)
Institutional Investment Series A: 18.5% Voting Control
Executive Employee Option Pool: 9.5% Voting Control
Evan Whitmore Personal Shares: 0.0% Voting Control
“This... this is impossible,” Evan stammered, the color draining from his face until he looked like wet plaster. “The operating agreement gave me managing control!”

“Managing authority granted under revocable spousal proxy,” Naomi countered ruthlessly. “A proxy that terminated automatically at 4:15 PM yesterday the second Judge Harrison signed your divorce decree.”
The deputy sheriff stepped forward, pressing the service elevator button. “Going up, Mr. Whitmore.”
